Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Drapier website, platform, APIs, and related services (collectively, the “Service”) operated by Inspiration Commerce Group, Inc. (“ICG,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing Drapier at drapier.io or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.
2. Description of Service
Drapier is a premium performance network that connects digital publishers with luxury fashion brands. The Service provides:
- A dashboard for managing affiliate partnerships, accessing product feeds, generating tracking links, and viewing commission reports.
- Affiliate tracking infrastructure including click tracking, cookie-based and server-side attribution, and commission calculation.
- Product data feeds from our brand partners — currently Italist, HEWI London, and Verishop.
- API access for programmatic integration with publisher platforms.
- Documentation, guides, and developer resources.
The specific terms governing the publisher-network relationship, including commission rates, payment schedules, and attribution rules, are set forth in the Publisher Service Agreement, which is a separate binding agreement.
3. Account Registration and Eligibility
To use certain features of the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information as requested in the registration form.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the security and confidentiality of your login credentials and not share your password with any third party.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. Publisher accounts are subject to an application and approval process. We reserve the right to refuse registration or cancel accounts at our discretion.
4. Permitted Uses
You may use the Service only for lawful purposes and in accordance with these Terms. Permitted uses include:
- Browsing the Drapier website, documentation, and public content.
- Applying for and managing a publisher account to promote products from our brand partners.
- Generating and using affiliate tracking links on your approved properties.
- Accessing product data feeds and API endpoints in accordance with our API documentation and rate limits.
- Viewing reports, analytics, and commission data related to your account.
5. Prohibited Uses
You agree not to use the Service to:
- Engage in click fraud, cookie stuffing, ad injection, or any other form of affiliate fraud or manipulation.
- Bid on trademarks or brand terms of Drapier, ICG, or any of our brand partners in paid search campaigns.
- Operate coupon, deal, cashback, or loyalty sites that promote Drapier brand products without prior written approval.
- Generate incentivized traffic (paying users to click links or make purchases) without prior written consent.
- Scrape, crawl, or otherwise automatically extract data from the Service beyond the scope of authorized API access.
- Interfere with, disrupt, or create an undue burden on the Service or the networks or servers connected to the Service.
- Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service.
- Use the Service to transmit any malware, viruses, worms, or other malicious code.
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
- Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of the Service.
- Violate any applicable law, regulation, or these Terms.
6. Intellectual Property
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Inspiration Commerce Group, Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of the United States and foreign jurisdictions.
The Drapier name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ICG or its affiliates. You may not use such marks without our prior written permission. Approved publishers receive a limited, non-exclusive, revocable license to use Drapier trademarks solely for the purpose of promoting products within the network, as further described in the Publisher Service Agreement.
Our API, developer documentation, and technical specifications are proprietary. You may use them only in accordance with our published API terms and documentation. Reverse engineering, decompiling, or disassembling any part of the Service is strictly prohibited.
7. User Content
You may submit content to the Service, such as profile information, website descriptions, and promotional materials (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant ICG a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely in connection with operating and providing the Service.
You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not infringe the intellectual property rights or other rights of any third party.
8. Third-Party Links and Services
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by ICG, including the websites of our brand partners. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that ICG is not responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.
9. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, ICG disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
ICG does not warrant that (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results that may be obtained from use of the Service will be accurate or reliable; (c) any errors in the Service will be corrected; or (d) any specific level of commissions or revenue will be achieved through use of the Service.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall ICG, its directors, officers, employees, agents, affiliates, subsidiaries, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content.
In no event shall ICG’s total aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the total amount of commissions paid to you by the network in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).
11. Indemnification
You agree to defend, indemnify, and hold harmless ICG, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, property, or privacy right; or (d) any claim that your User Content caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Service.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by contacting us at hello@drapier.io. If you are a publisher with an active Publisher Service Agreement, the termination provisions of that agreement shall also apply.
All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will post the revised Terms on this page with an updated “Effective Date” and notify registered users by email at least thirty (30) days before the changes take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. If you do not agree with the revised Terms, you must stop using the Service and close your account.
15. General Provisions
15.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
15.2 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and (if applicable) the Publisher Service Agreement, constitute the entire agreement between you and ICG regarding the Service and supersede all prior agreements, understandings, and communications.
15.3 Waiver
The failure of ICG to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision of these Terms shall only be effective if made in writing and signed by an authorized representative of ICG.
15.4 Assignment
You may not assign or transfer these Terms or your rights under them, in whole or in part, without our prior written consent. ICG may assign or transfer these Terms, in whole or in part, without restriction.
